General Terms and Conditions (B2B)

1. Scope and B2B character
These GTC apply to services of the Einzelfirma Ruta Group, trading under the ITBox brand, towards companies, authorities, organisations and self-employed persons. Contracts with consumers are concluded only after express written confirmation. Mandatory statutory provisions remain reserved.
2. Contract components and precedence
Contract components apply in the following order: 1. the individual order confirmation or Service Order; 2. the data-processing agreement where applicable; 3. the service description and agreed annexes; 4. these GTC; 5. documented operational instructions of the customer.
3. Contract formation — an inquiry is not an order
The online case review, automatic emails and non-binding price information do not constitute acceptance of an order or a shipping release. A contract is formed only when ITBox confirms scope, price, prerequisites and operational readiness in writing and the customer actively accepts the order confirmation in text form. Sending a device without a confirmed order creates no entitlement to processing.
4. Customer authority and ownership
The customer confirms that it is entitled to commission, hand over, process, erase and — where agreed — dispose of the devices. It warrants that the devices are its property or that it is validly authorised, that no unknown retention of title, pledge or third-party leasing rights exist, that the devices are not reported lost or stolen and that the required internal approvals are in place. In case of doubt ITBox may hold the case until authority is evidenced.
5. Ownership in RETURN and REBUILD
In RETURN and REBUILD services, ownership of the device remains with the customer at all times. Taking possession, transport, storage, inspection or processing does not transfer ownership to ITBox.
6. SELL — separate rules
An online or advance valuation is non-binding. After physical inspection, ITBox or the named purchase partner issues a final offer. Ownership passes only when the customer actively accepts the final offer in text form, identity and authority have been verified and the transfer of title is confirmed in writing. Silence, expiry of a deadline or the mere sending of devices do not constitute acceptance.
7. Customer duties before shipment
Before shipping, the customer must back up required data, review legal-hold, archiving and evidence-preservation duties, disclose MDM, Autopilot, Activation Lock and account locks, declare known battery damage, declare the device and accessories completely and follow the packaging and shipping instructions. Passwords, recovery keys and other secrets may only be transmitted via an expressly approved secure channel.
8. Legal hold
ITBox does not perform erasure while an open instruction, an ownership doubt, a legal hold, evidence preservation, a known investigation or a statutory retention duty stands in the way. The customer bears responsibility for deciding whether data must be backed up or retained before erasure.
9. Transport, risk and battery
The allocation of risk during transport follows the order confirmation and the chosen shipping method. ITBox coordinates transport only within the scope confirmed in writing; providing a shipping label does not automatically mean assuming unlimited transport risk. Devices with swollen, leaking, overheating, mechanically damaged or otherwise unsafe batteries must not be sent via the standard ReturnKit.
10. Intake and discrepancies
Carrier tracking or delivery information confirms only the delivery of a parcel, not its contents, condition or completeness. On receipt ITBox creates an Intake Record; identified discrepancies, additional storage media, missing accessories, damage, locks or safety risks are documented and presented to the customer for decision. Until resolved, there is no automatic release, erasure, rebuild, sale or disposal.
11. Per-media data erasure
Data erasure is performed only where expressly commissioned, technically released and not blocked by a stop reason. Every identified physical storage medium is identified separately and receives its own result. A tool status alone does not constitute a release. ITBox does not guarantee an irrecoverable effect where the medium is defective, inaccessible, encrypted, locked or incompatible with the agreed method.
12. REBUILD
REBUILD comprises only the steps listed in the order confirmation. The customer provides the required licences, tenant approvals, deployment profiles and technical instructions. ITBox does not bypass MDM, Activation Lock, account or theft locks.
13. Partners and sub-processors
ITBox may engage qualified logistics, software, repair, remarketing and recycling partners where required for the engagement. Where a partner processes personal data on behalf, the data-protection requirements and the safeguards agreed in the DPA apply.
14. Waste and recycling
ITBox does not operate its own disposal facility and does not automatically accept devices as waste for disposal. Where a device is treated as waste after a documented decision, it is handed over exclusively to a partner qualified and, where required, authorised for this purpose. Cross-border movement takes place only after separate legal and operational review.
15. Liability
ITBox is liable for direct damage caused by a proven breach of contract, to the extent permitted by law. Liability for slight negligence, indirect damage, loss of profit, business interruption and indirect consequential data damage is excluded to the extent permitted by law. Liability for intent and gross negligence and other mandatory liability remains unaffected. A concrete liability cap will be set only after alignment with insurance cover and stated in the order confirmation.
16. Law and jurisdiction
Swiss law applies, excluding conflict-of-laws rules and, where permissible, the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for disputes between businesses is the registered office of Ruta Group. Mandatory statutory places of jurisdiction remain reserved.
